Our constitution

The Friends of Borstal Open Spaces constitution was set in February 2006 and was amended at the last AGM of the 15th March 2007.

1.  The name of the group will be FRIENDS OF BORSTAL OPEN SPACES (BOSS).

2.  The AIMS of the group will be: 

     a) to co-operate with Medway Council Open Spaces and Ranger Depts. To Ensure that 

         Borstal Recreation Grounds ("Shorts Way" fields) and including Baty's Marsh are 

         protected from the threat of development in the future and kept as public open spaces.

     b) To liase with the designated Council Officials to present ideas relating to the  

         recreational use of this area for the benefits of all users, whether for official sports or 

         causal use and to enhance the environmental value of the area.

     c) If when other open spaces become accessible to the public, to consider incorporating 

         such spaces into a) and b) above.

3.  Membership of the group is open to anyone interested. A nominal annual membership fee 

     (min £2) will be raised. 

4.  This constitution may be amended by a two-thirds majority of members present at an 

     annual or special general meeting, provided that 10 days notice of the proposed 

     amendments has been sent to members.

5.  The group will be managed by a committee of up to twelve members, which shall be 

     elected at every annual general meeting to constitute the committee for the ensuing year.

     The chairman, vice chairman, secretary and treasurer shall be appointed by the 

     committee at the first committee meeting after the AGM and shall hold office until the 

     next AGM. However the committee is empowered to co-opt additional non-voting 

     members at any time if a specific need arises.

6.  The committee will be responsible for pursing the aims of the group and may take such 

     actions as it deems necessary in pursuit of those aims. The group will be strictly 

     non-political.

7.  The group, through the treasurer, will hold funds for the pursuance of its aims. Any such 

     funds will be held in a suitable bank/building society account in the name of the group. 

     Withdrawals will require the signatures of at least two officers.

8.  An Annual General Meeting is to be held in March of each year- date to be decided by the 

     committee - and is to include:-

     a) The election/re-election of committee members

     b) The receipt of the audited accounts & 

     c) authorisation to any proposed changes to this constitution

9.  All General Meetings will be called by the chair , giving a minimum of 21 days notice to 

     members. The method of advertising such meetings will be determined by the 

     committee.

10. The Committee will have power to cal public meetings at any time in order to provide  

      information or for any other purpose save that reserved for a General Meeting.

11. Committee meetings will be held as necessary & determined by the chair. 

12. Voting results at all meetings will be by a simple majority. in event of a tied vote, the 

      results will be determined by the chair using the casting vote.

13. The quorum required for General Meetings and Committee Meeting will be eight.

14. Any two committee members may at any time, request the chair to call a meeting of the 

      committee within fourteen days, by submitting their request in writing. 

15. The groups existence may be terminated by a two-thirds majority vote from members at a 

      General Meeting. In such an event, members will decide how any funds/assets held 

      should be dispersed. 

16. BOSS may, from time to time award Honorary Life Membership to individuals who have 

      been active over the years for the cause of our objectives.
